1. Acceptance of these Terms
These Terms of Use ("Terms") form a binding contract between you and MiRNA Scientific, Inc. ("MiRNA Scientific," "we," "us," or "our"). By accessing or using the my.mirsentinel.com website, the www.mirsentinel.com website, the patient portal, the miR Access™ Patient Assistance Program, or any other online or offline service we offer (collectively, the "Services"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old to create an account on the Services or to order the miR Sentinel™ Prostate Cancer Test. The Services are intended for use by individuals located in the United States and Puerto Rico.
3. Healthcare relationship; not medical advice
The Services and any information available through them, including the miR Sentinel™ Prostate Cancer Test results, are not a substitute for professional medical advice, diagnosis, or treatment. The miR Sentinel™ Prostate Cancer Test is a Laboratory Developed Test offered under CLIA / CAP authority and is available by prescription only. The test is intended to be ordered by a healthcare provider when, in that provider's clinical judgment, a patient presents with clinical suspicion of prostate cancer. Always seek the advice of your physician or other qualified healthcare professional with any questions you may have regarding a medical condition.
4. Account terms
If you create an account on the Services, you are responsible for maintaining the confidentiality of your credentials, for all activities that occur under your account, and for ensuring that the information you provide is accurate and current. You agree to notify us promptly of any unauthorized use of your account.
5. Permitted use
Subject to your compliance with these Terms, MiRNA Scientific grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes (or, if you are a healthcare provider, for the purpose of ordering and receiving results of the miR Sentinel™ Prostate Cancer Test on behalf of your patients).
6. Prohibited conduct
You agree not to:
• Use the Services in any way that violates applicable law or these Terms.
• Misrepresent your identity, affiliation, or any information you submit through the Services.
• Use the Services to send spam, malware, or other unwanted communications.
• Attempt to gain unauthorized access to the Services or to any account, computer system, or network connected to the Services.
• Interfere with the operation of the Services or impose an unreasonable load on our infrastructure.
• Reverse-engineer, decompile, or disassemble any part of the Services.
• Scrape, crawl, harvest, or otherwise programmatically extract data from the Services, except to the extent expressly permitted by us in writing.
• Use any data from the Services to train, fine-tune, evaluate, or develop any artificial-intelligence, machine-learning, or large-language-model system, without MiRNA Scientific's express prior written consent.
• Use the Services to violate the intellectual-property rights or privacy rights of any person.
7. Intellectual property
All right, title, and interest in and to the Services, including all software, content, and the trademarks "MiRNA Scientific™," "miR Sentinel™," "Sentinel™ PCC4," and "miR Access™," are owned by MiRNA Scientific, Inc. or its licensors and are protected by U.S. and international intellectual-property law. Nothing in these Terms grants you any right or license except as expressly stated.
8. No FDA clearance or approval
The miR Sentinel™ Prostate Cancer Test has not been cleared or approved by the U.S. Food and Drug Administration. The FDA does not require this test to go through premarket FDA review. The test is offered as a Laboratory Developed Test under CLIA / CAP authority. The test has been granted FDA Breakthrough Device Designation (Reference Q201687); Breakthrough Designation accelerates the review pathway for novel diagnostics and does not constitute FDA clearance or approval.
9. Disclaimer of warranties
EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MIRNA SCIENTIFIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MIRNA SCIENTIFIC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF MIRNA SCIENTIFIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MIRNA SCIENTIFIC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
11. Indemnification
You agree to indemnify and hold harmless MiRNA Scientific and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
12. Dispute resolution; arbitration
Any dispute or claim arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures (or, for claims under the threshold for streamlined arbitration, JAMS Streamlined Arbitration Rules and Procedures). The arbitration will take place in [INSERT VENUE], and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
YOU AND MIRNA SCIENTIFIC EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THIS PARAGRAPH DOES NOT APPLY TO INDIVIDUALS WHO ARE NOT PERMITTED TO ENTER INTO ARBITRATION OR CLASS-WAIVER AGREEMENTS UNDER APPLICABLE LAW.
13. Governing law
These Terms are governed by the laws of the State of New Jersey, without regard to its conflicts-of-law principles. Any action that is permitted to be brought in court (rather than in arbitration) must be brought in the state or federal courts located in Trenton, New Jersey, and you consent to the exclusive jurisdiction of those courts.
14. Modifications to these Terms
We may modify these Terms from time to time. The modifications will be effective when posted, and we will revise the Effective Date at the top of these Terms. Your continued use of the Services after the modified Terms take effect constitutes acceptance of the modified Terms.
15. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including for violation of these Terms. Provisions of these Terms that by their nature should survive termination will survive, including Sections 6, 7, 8, 9, 10, 11, 12, 13, and 16.
16. Miscellaneous
These Terms, together with the Privacy Policy and any other agreement we may have with you, constitute the entire agreement between you and MiRNA Scientific with respect to the Services. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms freely.
